Position Summary:

Reading International, Inc. is seeking an experienced Associate General Counsel – Real Estate and Finance to report directly to its General Counsel and to work directly with senior operations executives. The position will be based onsite in Downtown Los Angeles or New York City. This role will primarily focus on real estate legal matters, including commercial lease negotiations, real estate finance transactions and property development and other real property-related agreements. The successful candidate will manage a wide range of responsibilities involving property acquisitions and dispositions, mortgage and security agreements, and negotiations with landlord’s and lender’s counsel and property development activities (such as negotiation of architect and general contractor agreements). Additional responsibilities will include support for corporate governance, SEC compliance, and complex financial transactions across our Company’s global operations. This position reports directly to our General Counsel.

It is envisioned that this role would eventually expand to include the functions of our Company’s Corporate Secretary.

Key Responsibilities:

  • Review, draft, and negotiate commercial leases and license agreements, amendments, and ancillary agreements.
  • Manage legal elements of real estate transactions including acquisitions, dispositions, financing, and development projects.
  • Negotiate with landlord’s and lender’s counsel on financing terms, security interests, and collateral matters.
  • Provide legal counsel on real estate finance structures, including mortgage and secured transactions.
  • Support internal teams and liaise with outside counsel to ensure legal compliance and risk mitigation.
  • Advise on corporate governance matters and support public company SEC filings and reporting obligations.
  • Participate in cross-functional projects and provide strategic legal advice to senior leadership.
  • Ancillar to the above, responsibilities will include litigation support and coordination of discovery activities.

Qualifications:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in the California State Bar.
  • 6–8 years of relevant legal experience, with a strong focus on leasing, real estate finance and transactional law.
  • Superior academic credentials and excellent writing and interpersonal skills.
  • Demonstrated experience negotiating commercial leases and managing the legal aspects of real estate finance transactions involving mortgages, secured lending, financing leases and guaranties.
  • Familiarity with land use matters, construction contracts and architect’s agreements.
  • Familiarity with legal contracts, lease provisions, and title documents.
  • Exceptional attention to detail, strong organizational and time management skills.
  • Excellent written and verbal communication skills.
  • Ability to work independently and collaboratively across departments.

Compensation and Benefits:

Target Hiring Range: $200,000 - $225,000

Actual compensation will be determined based on market location, as well as the candidate’s experience, skills, and job-related qualifications.
